The short version
Questri helps professional equestrian teams plan and document work. The people responsible for an operation remain responsible for animal care, staff safety, billing decisions, and verifying that the current plan was actually completed. Each person must use an individual login, and organizations control access to their own workspace and content.

Agreement and definitions
These Terms of Service (the Terms) are a binding agreement between BLAZON LLC, doing business as Questri (Questri, we, us, or our), and the person or organization using the Service (you or the Customer). By creating an account, purchasing a subscription, accepting an Order, or accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a facility, business, nonprofit, school, team, or other organization, you represent that you have authority to bind that organization. In that case, Customer means that organization.
An Authorized User does not represent that they have authority to bind a Customer merely by accepting an invitation or using the Service. Authorized Users must comply with the requirements of these Terms that apply to their use of the Service.
- Service means Questri's websites, hosted web application, mobile applications, Digital Barn Board, support, and related features and services.
- Authorized User means a person whom a Customer permits to use its Questri workspace.
- Customer Content means information, files, photographs, messages, records, and other material submitted to the Service by or for a Customer or its users.
- Order means an online checkout, order form, proposal, or other written agreement that identifies a subscription or professional service.
Our Privacy Policy explains how we collect, use, and disclose personal information. It is incorporated into these Terms.

Eligibility, organizations, and accounts
A person accepting these Terms for a Customer must be at least 18 years old, or the age of legal majority where that person lives, and legally able to enter this agreement. The Service is designed for professional equestrian operations and is not directed to children under 13. A person under 13 may not create or use a Questri account.
A Customer may authorize a person between 13 and the age of legal majority to use the Service only when the Customer has obtained any consent required from a parent or legal guardian and complies with applicable law. The Customer is responsible for deciding which users may access its workspace and what permissions they receive.
- Provide accurate, current account and organization information.
- Use an individual login for each person. Shared logins are not permitted.
- Keep credentials and devices secure, and promptly report suspected unauthorized access.
- Review and remove access when a person changes roles or leaves the organization.
- Understand that organization owners and administrators may manage users, permissions, content, and access, including removing a user from the organization.
The Customer is responsible for activity within its workspace, except to the extent caused by Questri's breach of these Terms. Contact support@questri.ai promptly if an account may have been compromised.

Using Questri responsibly
Subject to these Terms and payment of applicable fees, Questri grants the Customer and its Authorized Users a limited, nonexclusive, nontransferable right to access and use the Service for the Customer's internal equestrian operations during the subscription term.
You may not, and may not help another person to:
- Use the Service unlawfully or violate another person's rights.
- Upload malware, attempt unauthorized access, interfere with the Service, bypass access controls, or conduct security testing without Questri's written permission.
- Reverse engineer, decompile, copy, scrape, resell, or build a competing service from the Service, except where applicable law does not allow that restriction.
- Use unauthorized bots or automated methods. Integrations or automation expressly authorized by Questri are permitted within their documented limits.
- Upload content that is unlawful, threatening, abusive, deceptive, infringing, or that violates privacy, publicity, confidentiality, or intellectual property rights.
- Put full payment card numbers, security codes, bank credentials, Social Security numbers, government identification numbers, passwords, or similar high-risk human identifiers in horse notes, chat, comments, files, or other free-text fields.
Designed for equestrian operations
Questri is not intended to be a system of record for protected human health information, student education records, or other regulated human records unless Questri has expressly agreed to that use in a separate written agreement.

Operational and animal care responsibilities
Questri organizes information and workflow. It does not provide veterinary, medical, legal, tax, accounting, emergency, or other professional advice. It is not an emergency alert service and does not replace direct observation, qualified judgment, supervision, or the Customer's own safety and animal-care procedures.
Plans, assignments, reminders, completion indicators, messages, and Barn Board displays can be incomplete, delayed, entered incorrectly, unavailable, or out of date. The Customer and the people responsible for each horse must verify the current plan, communicate urgent changes through appropriate channels, and confirm that required work and care were safely completed. In an emergency, contact a veterinarian or the appropriate emergency service.
The Customer is responsible for its horses, facilities, personnel, clients, riders, equipment, legal compliance, employment practices, and business decisions. Questri does not guarantee a particular care, safety, operational, financial, or business outcome.

Customer Content and privacy
As between Questri and the Customer, the Customer retains its rights in Customer Content. The Customer grants Questri and its service providers a worldwide, nonexclusive license to host, store, copy, transmit, display, format, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and follow the Customer's instructions.
The Customer represents that it has the rights, permissions, and lawful basis needed to submit and use Customer Content, including information about team members, clients, riders, minors, horses, photographs, treatment details, and billing activity. The Customer is responsible for giving appropriate notices and obtaining consent where required.
Some features let a Customer create a public or shareable link, invite another person, or send content outside its organization. The Customer controls those actions and is responsible for the recipients and the content made available. Anyone with an active public link may be able to view the information it exposes.
Questri may use aggregated or deidentified information that cannot reasonably identify a person or Customer to operate, analyze, improve, and explain the Service. Our handling of personal information is described in the Privacy Policy.

Subscriptions, fees, trials, and refunds

Except when required by law or stated in a written offer or Order, fees are nonrefundable. Questri may issue a refund or credit in its discretion without creating an obligation to do so in another case. If payment is overdue, Questri may restrict access after providing any notice required by law.

Customer Payment Features
Questri may let a Customer create invoices, record billable activity, accept payments from its own clients, or connect a Stripe account (the Customer Payment Features). Payment processing is provided by Stripe, not Questri. When a Customer activates connected payment processing, Stripe's Connected Account Agreement and related Stripe terms apply. Stripe processes personal information according to its Privacy Policy.
The Customer is responsible for its client relationships and for the accuracy and legality of invoices, charges, descriptions, taxes, refunds, disputes, chargebacks, and any goods or services represented by a transaction. The Customer must provide accurate business and identity information requested for payment processing and authorizes Questri to share that information and related transaction information with Stripe as needed to provide the feature.
Questri is not a bank, money transmitter, financial adviser, or party to the underlying transaction between a Customer and its client. Payment availability, onboarding, reserves, payouts, holds, disputes, and processing decisions may be controlled by Stripe and applicable law.

Cancellation, suspension, and termination
An organization owner can cancel a subscription through the billing portal. If the portal is unavailable, contact support@questri.ai. Cancellation takes effect at the time shown in the portal or confirmation. Charges already paid are not prorated or refunded except as required by law or stated in a written offer.
When cancellation or termination becomes effective, access to paid features and Customer Content may be restricted. Contact support before that date if you need reasonable help retrieving Customer Content. Questri may retain or delete information as described in the Privacy Policy and as required for backups, security, dispute resolution, or legal compliance.
Questri may suspend or limit access when reasonably necessary to protect the Service or others, address a security risk, prevent unlawful or abusive use, respond to legal process, or collect an overdue amount. We will provide notice and an opportunity to address the issue when reasonably practicable.
Either party may terminate for a material breach that is not cured within 30 days after written notice. Questri may terminate immediately for unlawful conduct, a material security risk, fraud, repeated infringement, abuse, or a breach that cannot reasonably be cured. Sections that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, indemnity, liability limits, and general terms.

Professional services
Setup assistance, training, migration, equipment recommendations, Barn Board setup, Concierge Launch, site visits, or other professional services are provided only as stated in an applicable Order or proposal. That document may address scope, schedule, fees, travel, hardware, deliverables, responsibilities, and cancellation. The Customer is responsible for safe site access, accurate information, timely decisions, and any third-party equipment or services it purchases.
Unless an Order says otherwise, recommendations are advisory, the Customer makes the final purchasing and operational decisions, and third-party hardware is covered by the manufacturer or seller's warranty rather than a Questri warranty.

Third-party services and app stores
The Service relies on or can link to third-party services, including identity, hosting, payments, chat, analytics, mapping, notifications, app distribution, and customer-support providers. A third party's own terms and privacy policy govern its services. Questri is not responsible for a third-party service outside Questri's reasonable control.
If you download a Questri mobile app from Apple or Google, the applicable store terms also apply. Apple and Google are not responsible for providing support or maintenance for Questri, except to the extent required by their store terms or applicable law. If these Terms conflict with mandatory app-store terms, the mandatory store terms control for that limited issue.

Questri intellectual property and feedback
Questri and its licensors own the Service, software, designs, documentation, trademarks, and all related intellectual property, excluding Customer Content. No right is granted except the limited right to use the Service under these Terms. You may not use Questri's names, logos, or branding in a way that suggests endorsement without written permission.
If you send suggestions or feedback, you grant Questri a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation. Feedback does not include Customer Content or the Customer's confidential information.

Confidentiality and security
Each party may receive nonpublic information that a reasonable person would understand to be confidential. The receiving party will use it only to perform under these Terms, protect it using reasonable care, and disclose it only to personnel and providers who need it and are subject to confidentiality obligations. These duties do not apply to information that is public through no breach, independently developed, rightfully received without a duty, or required to be disclosed by law. When legally permitted, the receiving party will give reasonable notice before a compelled disclosure.
Questri uses reasonable administrative, technical, and organizational safeguards designed to protect the Service and personal information. No system is perfectly secure. The Customer is responsible for appropriate devices, network access, user permissions, backups or exports it separately maintains, and internal procedures suitable for its operation.

Warranties and disclaimers
To the fullest extent permitted by law, the Service and professional services are provided as is and as available. Questri disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement, and any warranty arising from course of dealing or usage of trade.
Questri does not warrant that the Service will be uninterrupted, error-free, completely secure, or compatible with every device or third-party service; that data or results will always be accurate or available; or that the Service will meet every operational, regulatory, care, billing, or business requirement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Indemnity and limitation of liability
The Customer will defend, indemnify, and hold harmless Questri and its officers, employees, and contractors from third-party claims, damages, losses, and reasonable legal fees arising from Customer Content, the Customer's violation of law or these Terms, animal care or facility operations, or transactions between the Customer and its clients. This obligation does not apply to the extent a claim was caused by Questri's breach of these Terms, gross negligence, or willful misconduct. Questri will provide reasonable notice and cooperation, and the Customer may not settle a claim in a way that admits fault or imposes obligations on Questri without Questri's written consent.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or data, even if advised that such damages were possible.
To the fullest extent permitted by law, each party's total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of USD $100 or the fees paid or payable by the Customer to Questri for the Service during the 12 months before the event giving rise to the claim. This cap does not limit payment obligations, indemnity obligations, a party's infringement or misappropriation of the other party's intellectual property, fraud, willful misconduct, or liability that cannot lawfully be limited.

Changes, governing law, and general terms
Questri may update the Service and these Terms. When a change to these Terms is material, we will provide reasonable advance notice by email, in the Service, or on this page when practicable. A change may take effect sooner when needed for law, security, or a new feature. The effective date at the top identifies the current version. Continued use after the new effective date means acceptance of the updated Terms.
Questri may change prices for a future renewal period by providing advance notice required by law or the applicable Order. Changes to taxes, usage, optional features, or a Customer's requested plan can take effect as shown during the transaction.
Wisconsin law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in Milwaukee County, Wisconsin have exclusive jurisdiction, except where applicable consumer law requires another forum. Before filing a claim, the parties will make a good-faith effort to resolve the dispute through written notice and discussion.
Neither party is liable for delay caused by circumstances beyond its reasonable control. Neither party may assign these Terms without the other's consent, except that Questri may assign them in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets. These Terms do not create a partnership, employment, agency, fiduciary, or joint-venture relationship. There are no third-party beneficiaries.
If a provision is unenforceable, it will be modified only as much as necessary and the rest will remain effective. A failure to enforce a provision is not a waiver. These Terms and any applicable Orders are the complete agreement about the Service and replace prior agreements on the same subject. These Terms control unless an Order signed by both parties expressly identifies and overrides a specific provision of these Terms. Any override applies only to that identified provision.
